Terms of Service

Please read these terms carefully. Section 20 contains an agreement to resolve disputes by individual arbitration for customers in the United States, and a waiver of class actions and jury trials.

1. Who we are and who these terms cover

These Terms of Service ("Terms") are a contract between forseeno, inc., a Delaware corporation ("Forseeno", "we", "us"), and the business that creates a Forseeno account ("you"). The person who accepts these Terms confirms that they are authorised to accept them for that business. If you accept for an accountant, bookkeeper or other firm acting for a client, you confirm the client has authorised you.

2. Business use only

Forseeno is a service for businesses. By creating an account you confirm that you are using Forseeno for a business, trade or profession, and not as a consumer for personal or household purposes. You must be at least 18 years old.

3. Your account

You are responsible for keeping your login details secure and for everything done under your account. Tell us at once at mehul@forseeno.com if you think someone has accessed your account without permission. We may require two-step sign-in for some actions.

4. The service

Forseeno reads data from the business apps you connect, calculates figures from that data, and gives you summaries, warnings, answers to your questions and reports (together, "Outputs"). We may improve, change or remove features. If we remove a feature that is a main part of a paid plan, we will tell you in advance and you may cancel and receive a pro-rated refund for the unused period.

5. Information, not advice

Outputs are general information based on your own data. They are not financial, accounting, tax, legal, credit or investment advice, and Forseeno is not acting as your accountant, adviser or fiduciary. You are responsible for your business decisions. Before acting on an Output that matters to your business, check it against your own records and, where appropriate, ask a qualified professional.

6. Results depend on you

Forseeno helps you see what is happening in your business and warns you early. Any improvement in your cash flow or results depends on you reviewing your brief and acting on it. We do not promise or guarantee any particular result.

7. Accuracy, estimates and AI

Outputs can only be as accurate and up to date as the data your connected apps provide. Some Outputs, such as days of cash, are estimates based on recent figures and may not match what actually happens. Our software calculates the numbers; written explanations are produced with the help of artificial intelligence and checked against those numbers, but they may still contain mistakes or omissions. Please tell us about any error you find so we can correct it.

8. Plans, payment and automatic renewal

Pilot. During our invite-only pilot, Forseeno is free unless we agree otherwise in writing. We will give you at least 30 days' notice before the pilot ends, and nothing will be charged unless you choose a paid plan.

Paid plans. Paid plans are billed monthly or yearly in advance, at the price shown when you subscribe, through our payment provider Stripe. Prices exclude sales tax, VAT or GST, which we add where the law requires.

Automatic renewal. Your plan renews automatically at the end of each monthly or yearly period, and we will charge your payment method the then-current price, until you cancel. We ask you to agree to automatic renewal separately before you pay. For yearly plans, we will email you between 7 and 30 days before each renewal with the renewal date, the amount and how to cancel.

Usage charges. Some plans include a set number of transactions each month. If you go over, we charge the extra blocks shown on our pricing page, and show them on your invoice.

Failed payments. If a payment fails, we will tell you and try again. If it is still unpaid after 14 days, we may pause your account until it is paid.

9. Cancelling and refunds

You can cancel online at any time in Settings, Billing, or by emailing mehul@forseeno.com. Your plan then stays active until the end of the period you have paid for and does not renew.

If you pay for a yearly plan and ask for a refund within 30 days of that payment, we will refund it in full. Otherwise, payments are non-refundable, including for partly used periods, except where these Terms say otherwise or the law requires.

10. Price changes

We may change our prices. We will email you at least 30 days before a new price applies to you, and the new price starts only at your next renewal. If you don't want to pay the new price, you can cancel before it applies.

11. Your data and connected apps

You own your data. "Your Data" means the data we read from your connected apps and the information you give us. You keep all rights in it. You give us permission to host, copy, process and display Your Data only to provide, secure and support the service for you, and as described in our Privacy Policy.

Anonymous statistics. We may create statistics from data across many customers that cannot identify you or your business (for example, average days to be paid by industry) and use them to improve Forseeno and to publish benchmarks. We will never publish or sell Your Data or anything that identifies you.

Your permission to connect. You confirm you are authorised to connect each app and account you link to Forseeno. Forseeno uses read-only access and cannot move money or change records in your apps.

Other companies' apps. Connected apps such as QuickBooks, Xero, FreshBooks, Shopify, WooCommerce, Wix and Stripe are run by other companies under their own terms. We are not responsible for their availability, accuracy, changes or actions. If an app stops working with Forseeno, we will try to restore the connection, but we may not be able to.

Backups. Forseeno is not a backup of your records. Your connected apps remain the official record of your business.

12. Advisors and referral partners

If you allow an advisor to see your summary, they can see it read-only until you switch sharing off in Settings. Advisors are independent of Forseeno, and we are not responsible for their advice or actions. If you signed up using a partner's referral code, that partner can see your business name, sign-up date and plan, but none of your financial data.

13. Acceptable use

You must not: connect accounts you are not authorised to use; share your login outside your business; try to access another customer's data or our systems without permission; copy, resell or reverse-engineer the service; send malware or overload the service; use Forseeno to break the law or anyone's rights; or use Outputs to build a competing product. We may suspend access that breaks this section, as set out in section 19.

14. Our property and your feedback

Forseeno, its software, design and brand belong to us and our licensors. These Terms give you a limited, non-transferable right to use the service while your account is active, and no other rights. If you send us ideas or feedback, we may use them without any obligation to you.

15. Confidentiality

We keep Your Data confidential and use it only as these Terms and our Privacy Policy allow. We may disclose it only to our service providers bound by confidentiality, or where the law or a court requires, in which case we will tell you first where we are allowed to.

16. Disclaimer

To the extent the law allows, the service and Outputs are provided "as is" and "as available". We do not promise that the service will be uninterrupted or error-free, that Outputs will be complete or accurate, or that using Forseeno will achieve any result, and we disclaim all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement.

We do promise to provide the service with reasonable care and skill, and to fix errors we are told about within a reasonable time.

17. Limitation of liability

To the extent the law allows:

1. Neither you nor we will be liable for any loss of profits, revenue, business, goodwill or data, or for any indirect, special, incidental or consequential loss, even if told it was possible.
2. Our total liability for all claims relating to the service or these Terms is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, and (b) US$100.

These limits do not apply to liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence, nor to your obligation to pay fees. These limits are a fair allocation of risk, reflected in our prices, and apply whatever the type of claim.

18. Your indemnity

You will defend and compensate us for reasonable losses and legal costs arising from a third party's claim that results from: Your Data you were not authorised to connect or share; your breach of section 13 (acceptable use); or your breach of law. We will tell you promptly about any such claim and let you control its defence.

19. Suspension and termination

You may close your account at any time in Settings. We may suspend or close your account if you seriously or repeatedly break these Terms, if a payment remains unpaid as described in section 8, or if we must do so to protect the service or other customers, or to comply with the law. Where reasonable, we will warn you first and give you a chance to fix the problem. If we close your account without cause, we will give you 30 days' notice and refund any prepaid fees for the unused period.

When you delete your account, we delete your business data and connections, except records we must keep by law (see our Privacy Policy). Sections 5 to 7, 11 (anonymous statistics), 14 and 16 to 22 continue after your account closes.

20. Resolving disputes

Talk to us first. Before starting any claim, email mehul@forseeno.com with a description of the problem and what you want. We will do the same with you. Both sides will try in good faith to settle it within 60 days.

For customers in the United States: individual arbitration. If the dispute is not settled, it will be decided by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by one arbitrator, held online or in Wilmington, Delaware. Either side may instead bring an individual claim in small-claims court, and either side may ask a court to stop misuse of its intellectual property.

No class actions or jury trials. You and we each agree to bring claims only in an individual capacity, and not as a claimant or class member in any class, collective or representative proceeding. You and we each waive any right to a jury trial.

Opting out. You can opt out of this arbitration agreement by emailing mehul@forseeno.com within 30 days of first accepting these Terms, with your name, business name and the words "arbitration opt-out". Opting out does not affect any other part of these Terms.

Time limit. To the extent the law allows, any claim must be started within one year after it arises, or it is permanently barred.

21. Governing law and your local rights

These Terms are governed by the laws of the State of Delaware, USA, and by the Federal Arbitration Act for section 20, without regard to conflict-of-law rules. Subject to section 20, the state and federal courts in Delaware have exclusive jurisdiction.

• United Kingdom: if your business is in the UK, the laws of England and Wales apply and the courts of England and Wales have jurisdiction, instead of the above and section 20.
• Canada: if your business is in Canada, the laws of your province and of Canada apply, and nothing in section 20 applies where provincial law prohibits it (for example in Quebec).
• Australia: if your business is in Australia, the laws of New South Wales apply and its courts have jurisdiction, instead of the above and section 20. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Where the law allows, our liability for failing to meet such a guarantee is limited to supplying the service again or paying the cost of having it supplied again.
• Everywhere: nothing in these Terms limits any right you have under a law that cannot be excluded or limited by contract.

22. General

Changes to these Terms. We may update these Terms. We will email you at least 30 days before a change that affects you takes effect. If you don't agree, you can cancel before it takes effect and we will refund any prepaid fees for the unused period. Otherwise the new Terms apply from that date.

Entire agreement. These Terms, our Privacy Policy and any order you accept are the whole agreement between us about Forseeno, and replace anything said in sales conversations, ads or other material.

Severability and waiver. If a court finds part of these Terms unenforceable, that part is limited as little as needed and the rest stays in force. Not enforcing a right now does not waive it.

Events outside our control. Neither of us is liable for delays caused by events beyond reasonable control, such as outages at our providers or your connected apps, internet failures, or natural disasters.

Assignment. You may not transfer these Terms without our written consent. We may transfer them to a company that takes over our business, and will tell you if we do.

Independent parties and notices. You and we are independent contractors. We send notices to the email address on your account; you send them to mehul@forseeno.com.
